Terms of Service

eXpand AD LLC ("we," "our," "Company") provides integrated growth systems and marketing services designed to drive measurable revenue. Our service categories include:

1.1 Complete Growth Systems

Integrated growth engines where organic, paid, SEO, email, and creator partnerships work in concert. Scope, deliverables, KPIs, and pricing are defined in a Statement of Work (SOW) executed alongside a Master Services Agreement (MSA) prior to program launch.

1.2 Performance Media Buying

Precision advertising across Google Ads, Meta (Facebook/Instagram), TikTok, LinkedIn, and other major advertising platforms. Services include account setup, weekly optimization, creative testing, audience development, and performance reporting. Starting at $8,000/month.

1.3 SEO & Local Search

Search engine optimization and local search management, including Google Business Profile (GBP) optimization, on-page and technical SEO, content creation and optimization, link building, and local citation management. Starting at $800/month per location. Results may take 3–6 months to materialize depending on competitive landscape and current domain authority.

1.4 Plans

Tiered social media management packages offering consistent content creation, community management, and brand authority building:

• Signal: $1,299/month — foundational content and community management
• Pulse: $2,999/month — strategic content, enhanced community engagement, performance analytics
• Momentum: $4,999/month — premium strategy, creator collaboration, competitive analysis, advanced analytics

1.5 Email & Retention

Email marketing and customer retention programs including automated flows (welcome series, cart abandonment, post-purchase), broadcast campaigns, list segmentation, and performance optimization. Starting at $3,000/month.

1.6 Influencer & UGC

Creator and influencer strategy services including talent discovery and vetting, contract negotiation and management, creative briefs and approval workflows, campaign performance tracking, and paid media integration. Starting at $5,000/month.

1.7 Landing Pages & CRO

High-converting landing page design, development, and A/B testing. Starting at $1,500 per page project. Services include discovery and strategy, design and copy, conversion-focused optimization, A/B testing, and integration with CRM systems.

1.8 A La Carte Add-Ons

Additional services and ad-hoc work are billed as add-ons to existing retainers or as standalone projects. Pricing and scope are documented in SOWs prior to engagement.

In the event of conflict between these Terms and an executed MSA/SOW, the MSA/SOW governs.

You must be at least 18 years of age and have authority to bind the entity on whose behalf you engage our services. Client portal access is limited to authorized personnel of the client entity. You are responsible for maintaining the confidentiality of portal credentials and for all activity occurring under your account.

Notify us immediately at hello@expandad.com if you suspect unauthorized access, compromised credentials, or account misuse.

We reserve the right to verify your identity and business authorization before service delivery. If you do not meet eligibility requirements or if we suspect unauthorized or fraudulent account activity, we may suspend or terminate your account without refund.

Retainer and monthly service fees are billed in advance on the first of each billing cycle via ACH bank transfer or credit/debit card through our payment processor (Stripe). Annual prepay plans are invoiced once upfront at a 10% effective discount off the monthly rate. Invoices are due upon receipt unless different terms are specified in an MSA.

3.2 No Return or Refund Policy

eXpand AD LLC does not issue returns or refunds under any circumstances, including dissatisfaction with results, failure to achieve target KPIs, change of business direction, or any other reason. All sales and services are final.

3.3 Annual Prepay and Long-Term Commitments

Annual prepay plans are entirely non-refundable and non-cancellable. The only exception is material breach by eXpand AD LLC that remains uncured after 15 days written notice, in which case you may be entitled to a prorated refund for the uncured period only.

Overdue invoices (more than 15 days past due) accrue interest at 1.5% per month (or the maximum rate permitted by South Dakota law, whichever is lower). We reserve the right to suspend services for accounts more than 15 days past due after written notice.

All engagements require an initial 90-day minimum commitment. This period allows adequate time for program setup, performance ramp, machine learning optimization, and data collection for meaningful reporting. During this period, services cannot be cancelled except in cases of material breach by eXpand AD LLC that remains uncured after 15 days written notice.

Even if you cancel during the initial 90-day commitment period, you remain financially responsible for the full 90-day minimum fees. Cancellation does not release you from payment obligations or result in prorated refunds.

After the initial 90-day window, plans continue on a month-to-month basis and may be cancelled with 30 days written notice prior to the next billing date. Cancellation requests must be submitted in writing to hello@expandad.com.

Annual prepay plans are non-cancellable mid-term except in cases of material breach by eXpand AD LLC that remains uncured after 15 days written notice.

Upon receipt of full payment for the applicable service period, all custom creative work product, ad copy, visual assets, copywriting, social media content, email templates, landing pages, reports, and deliverables produced specifically and exclusively for your program are owned by you.

eXpand AD LLC retains ownership of its proprietary methodologies, strategic frameworks, templates, tools, processes, and software. You may not reverse-engineer, copy, or adapt these proprietary assets for use with other agencies or internally.

You grant eXpand AD LLC a limited, non-exclusive license to use your brand assets solely to perform the contracted services. This license terminates upon engagement end. Any use of case studies, results, or performance data for marketing purposes requires your prior written consent.

All advertising accounts (Google Ads, Meta Ads Manager, TikTok Ads, LinkedIn Campaign Manager, etc.), pixels, tracking codes, audiences, customer lists, email lists, and associated data are created in your business namespace and remain your property at all times.

You own all customer data, email addresses, phone numbers, purchase history, and behavioral data collected through our campaigns or services. We process this data as your service provider under the terms of our Privacy Policy and Data Processing Agreements.

Upon engagement termination, eXpand AD LLC will remove its own user access from your advertising accounts within 5 business days of your written request. We will provide account transition assistance at no additional cost for 30 days post-termination.

To the maximum extent permitted by applicable law, eXpand AD LLC's total aggregate liability for any and all claims arising from or related to these Terms, the MSA/SOW, or our services shall not exceed the total fees paid by you to eXpand AD LLC in the three months immediately preceding the claim.

In no event shall eXpand AD LLC be liable for indirect, incidental, consequential, punitive, or special damages, including but not limited to lost profits, lost revenue, lost business opportunity, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

Our services are provided on an "as-is" and "as-available" basis. We do not warrant, guarantee, or promise any specific advertising results, return on ad spend (ROAS), revenue generation, lead volume, conversion rates, or business outcomes. Digital marketing results depend on many factors beyond our control.

Past performance metrics, case studies, and success stories are illustrative of historical results for specific clients under specific circumstances. They are not guarantees of future performance. Results vary widely by industry, product, pricing, and execution.

We are not responsible for platform algorithm changes, policy updates, account suspensions, or advertiser bans issued by Google, Meta, TikTok, or other advertising platforms. Such platform actions do not relieve your obligation to pay fees for services already rendered.

Both parties agree to maintain the confidentiality of all proprietary, sensitive, or business-critical information disclosed in connection with the engagement, including but not limited to business strategies, marketing plans, financial data, customer lists, pricing information, campaign briefs, creative assets, and performance reports.

Confidentiality obligations survive the termination or expiration of this engagement for a period of three years. Either party may disclose confidential information to the extent required by law, court order, or regulatory authority, provided that the disclosing party notifies the other party in advance.

These Terms are governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict of law principles. Both parties irrevocably consent to the jurisdiction and venue of the state and federal courts located in South Dakota.

Any dispute, claim, or controversy arising from or relating to these Terms shall first be submitted to good-faith mediation before pursuing litigation or arbitration. Mediation shall take place in Watertown, South Dakota, and the parties shall share mediator costs equally. If mediation is unsuccessful within 60 days, either party may pursue binding arbitration or litigation.

If arbitration is pursued, disputes shall be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration shall be conducted in South Dakota, and the decision shall be final and binding.

We may modify these Terms at any time by posting an updated version on our website with a revised effective date. For material changes that negatively impact your rights or obligations, we will communicate such changes to active clients by email with at least 14 days advance notice. Continued use of our services after the notice period constitutes your acceptance of the updated Terms.

These Terms, together with any executed Master Services Agreement (MSA), Statement of Work (SOW), and our Privacy Policy, constitute the entire agreement between you and eXpand AD LLC regarding our services. In the event of conflict, documents are given precedence in the following order: (1) MSA/SOW, (2) these Terms of Service, (3) Privacy Policy. Any prior agreements, understandings, or communications are superseded by these Terms.
